Terms and Conditions
Our proposal cover: Requirements gathering, Design, Development, Implementation, Testing (integration and acceptance testing), Installation, any necessary re-work during development, Project management, any quality assurance carried during development, Configuration management, and meetings.
Our proposal includes the Graphic design of navigation elements required by the website including the scanning of images for the site and the scripting of the navigation elements required.
All prices are Excl VAT.
Our proposal is valid for 2 months from the date of this letter. The development time-frames in this proposal can only be guaranteed when the acceptance by the client is within 3 weeks of the date of this proposal.

Renewals: Your hosting account will be automatically renewed under the same time and fee structure unless you give written notice to ABsite thirty (30) days before the renewal date that you do not wish to renew your account.
Transfers: If you wish to transfer the hosting of your website and/or your domain names to another provider ABsite can, upon request, download your site onto a CD and mail it to you.
Please note that web applications programs (e.g. Catalogue Systems) and databases and other scripts are not included in the download as they are propriety of ABsite and are not included in the standard transfer right. The cost for this service £50 per copy. FTP access to your site is not available for transfer purposes.
Development charges are payable 50% at the commission of the job and 50% on publication.
Recurring charges are payable monthly in advance by standing order.
Money Transfer: in Pounds Sterling
Cheque in Pounds Sterling: payable to "ABSITE ltd" .... Please allow 1 week for cheque clearance.
ABsite reserves the copyright on the design of the Web pages and of any graphic design or multimedia elements created by ABsite, including the words, images, or computer code developed to create the Internet pages and other Internet elements included in the Web site.
At the end of the first 12 months period from the start of the provision of services, and provided that all moneys due have been fully paid;
Exclusions: This Agreement does not grant the client any intellectual property rights, copyright or licenses assignment in any ABsite development that was created by ABsite as web application before the contract with the client. ABsite will use from time to time Open Source software publicly available for commercial use for which ABsite has no copyright rights and that is never included in any copyright passed to the advertiser.
Restrictions: Except as expressly authorised in this Agreement, Customer agrees not to rent, lease, sublicense, distribute, transfer, copy, reproduce, display, modify or time share any software provided by ABsite Ltd. in performance of this Agreement or any related documentation.
Protection of Software: Customer agrees to take all reasonable steps to protect any software developed under this Agreement and any documentation related to the software from unauthorised copying or use. Source code of the software shall be deemed to include trade secrets of ABsite Ltd and/or its licensors. The source code and embodied trade secrets any not be licensed to Customer.
Copies and Adaptations: Except as otherwise provided in this Agreement, Customer may not make or authorise the making of copies or adaptations of any software provided by ABsite Ltd. except as an essential step in the utilisation of the software, or for archival purposes to
Promotional Use: ABsite logo with the mention "These pages are produced and hosted by ABsite" or similar will appear at the footer of every Internet page hosted by ABsite.
ABsite has the right to use the website developed for promotional use in its portfolio
All materials, including storyboards, illustrations, and mock-ups not included in the final approved designs (other than those presented by Client) will remain the property of ABsite. All preliminary concepts and visual presentations produced by ABsite that are not incorporated into the final approved designs (other than those presented by Client) remain the property of ABsite and may not be used by the Client without the written permission of ABsite.
ABsite Ltd makes no warranties of any kind, whether express or implied, for the services it provides other than for technical errors and oversights. ABsite Ltd will not be responsible for any direct, indirect or consequential damages that may result from the use of its services, including loss of data resulting from delays, non-delivery or interruption in service. You acknowledge and agree that ABsite Ltd cannot guarantee the absence of service interruptions caused by Acts of God or other circumstances beyond our control.
All services may be used for lawful purposes only. You agree to indemnify and hold ABsite Ltd harmless from any claims resulting from your use of our service that damages you or any other party.
Our total liability to you in contract or in tort arising in connection with this agreement shall not exceed the total price paid by you. We shall have no liability for loss of profits, business, revenue, goodwill or anticipated savings nor for any other indirect or consequential loss.
Data Hosting & Data Administration: ABsite will normally provide the data hosting and Domain Name hosting your website that is monitored for 24 hours a day, 7 days a week 365 days a year. We have reliable data backup procedures in place and Firewalls and Security to prevent unauthorised access or hacking of the database or websites including Virus protection.
We have our own servers, that we manage ourselves, so we don?t rely in third party shared hosting services, so if something goes wrong, we will not blame someone else!
Our Web servers are based Apache servers.? This is the most popular and reliable Web server configuration that offers better performance. It is also less open to hackers, viruses, etc.! We also manage our own DNS servers, Real servers, E-mail POP and SMTP (ESMTP SendMail 8.12 FTP, etc.
Included in our hosting charges we offer a standard system support that covers 24/24 site and server monitoring, database monitoring and connectivity verification.
Our website support service includes everything necessary to keep your site working well.
- Technical support: We fix problems and answer queries by email or telephone. We try to respond the same day. We also provide on-line technical information.
- Basic Maintenance: It is important to keep your website active and up-to-date. We make minor changes on request, generally by end of next business day. Up to one hour of updating work per year is included in the support charge.
- Website statistics package gives information about visitors to your site, including links they followed to reach it or words they searched for. Detailed reports are available on the web.

? Once the site has been prepared, we will do the ?Initial submission Search Engines and Directories (SE and D). (Manual submission to top 20 SE and D, Semi automatic submission to up to 500 Se and D)
? On an ongoing basis, we will review you ranking in the main search engines and directories.
? As search engine criteria change with time, we will review the site and resubmit when required.
? We will research and
request links to sites relevant to your market or industry that accept link
submission. Please let us know of any web site that you consider should be
included in this action.
Standard Up-date covers the changes that may be required by the client to the "Static" pages of the website. The alternative is to negotiate the cost any possible future intervention as when it arises
Unless it requires the creation of new pages or adding elements that we normally charge for, it will cover the updates of the static areas of the website developed by us including the following;
Standard Up-date is estimated for a number of hours per month average for several months. These prices will be reviewed periodically and could be altered if the level of update required constantly differs with the initial estimation.
When required by the client, ABsite will propose a planned periodic update package and re-evaluate the maintenance plan when the level of update required constantly differs with the initial estimation.
Of one hour per month (at 75% of its normal cost). This support will provide the time and resources to support the client?s systems administrators and does not include end user support.
During the life of a Web application there are always possibility of either or a request for assistance, problems arising (patches), upgrades required or new functionality required. System support option will cover these incidences, the alternative is to negotiate the cost any possible future intervention as when it arises.

NOTE This Service does not include functional or feature enhancements or additional functions, modules or features (?Enhancements?) to The Product as may be released by ABsite from time to time.
Email boxes are normally provided by your internet service provider (ISP) that is giving you access to the internet from your office or home.
Standard email service: ABsite standard email service will "redirect" e-mails sent to accounts under your domain name to the email boxes of your ISP that you normally use to send and receive emails.
The standard email service will create rules to redirect emails to different mailboxes of different users (up to 10 users). The cost of this standard email service is included in the Domain Name hosting charges paid to ABsite.
For clients that require other POP3 /SMTP o IMAP arrangements ABsite can provide two levels of mailbox services;
Advanced email service: This is a Google hosted POP3 /SMTP o IMAP mailbox that is currently offered for free. The mailbox service offered by Google is restricted to their current limits (May 2008) of 20mb per email and space for 6GB and up to 100 users per domain name.
ABsite will only charge a set-up configuration and testing fee. ABsite will not have any responsibility for the provision of this service other testing and validating the initial configuration.
Professional email service: When the client requires overcoming the limits of the free Google mailbox, ABsite will outsource the mailbox service to a specialised mailbox provider.
